Aventis Advisors successfully advised Spyrosoft, a Software Development and IT Consulting company listed on the Warsaw Stock Exchange and at the forefront of digital transformation, on the acquisition of German IT company, MD Consulting & Informationsdienste.

Background

Spyrosoft is a global IT company with over 1900 specialists onboard and offices in 10 countries. The firm specializes in specific areas where domain knowledge and vertical specialization serve as its main competitive advantages. It provides consulting and software development services in segments including Media, Automotive, HighTech & Software, Finance, Geospatial, Healthcare & Life Sciences, Industry 4.0, and Robotics.

MD Consulting, founded in 1991, provides IT consulting, software development, distribution and training, and works extensively with Germany’s public sector. The company is an authorized sales partner of Oracle and Microsoft.

The Challenge

Spyrosoft’s primary objective was to identify a strategic target company that would strengthen its position in the public sector, support the execution of its long-term growth strategy, particularly geographic expansion in the DACH region, and enhance the value proposition for its existing customer base.

The challenge was to identify a partner that would not only enhance its technological capabilities but also provide established local relationships and credibility in Germany, while ensuring a smooth integration and maximizing the value for both companies and their customers.

Transaction

Aventis Advisors provided comprehensive buy-side advisory support to Spyrosoft throughout the transaction process, leveraging our expertise to:

• Analyze the competitive market landscape and surface actionable M&A opportunities
• Engage with a diverse pool of potential targets and facilitate introductions for Spyrosoft
• Provide hands-on support during the different phases of the transaction to ensure smooth closing of the deal

Outcome

The acquisition strengthens Spyrosoft’s position in the DACH region (Germany, Austria, Switzerland), which already generates about one quarter of the group’s revenue.

The deal is part of Spyrosoft’s strategy to expand in Germany, diversify operations and gain better access to public procurement projects.
